SOUTHAMPTON PROBUS CLUB
CONSTITUTION

Article 1 - Title

The Club shall be called the Southampton Probus Club.

Article 2 - Purpose

To foster fellowship between members.

Article 3 - Membership

Membership shall be open to all professional and businessmen resident in the Southampton area, who have fully or partially retired from their business or profession. An applicant for membership shall be introduced by two existing members and his application approved by the Committee.

The maximum number of members shall be as determined by the Committee from time to time.

Article 4 - Constitution

The affairs of the Club shall be managed by a Committee consisting of a President, Chairman, Vice-Chairman, Honorary Secretary, Honorary Treasurer, Speakers' Secretary, Social Secretary and four other members, all to be elected at the Annual General Meeting. Four members shall form a quorum and the Committee shall have powers to co-opt and to appoint one or more sub-committees.

Article 5 - Meetings

The Club will hold luncheon meetings approximately monthly.

An Annual General Meeting shall be held in February each year at such a time, date and place as shall be determined by the Committee and at least two weeks notice of such a meeting shall be given orally to members of such a meeting.

Voting at all meetings shall be by a show of hands or by ballot on the decision of the Chairman of the meeting. In the event of an equal division of votes the Chairman of the meeting shall have a second or casting vote.

Article 6 - Subscription

The Annual Subscription shall be determined at the Annual General Meeting and shall be due and payable at the following meeting.

Article 7 - Accounts

An Income and Expenditure Account and Balance for the year to the end of December shall be presented by the Treasurer for approval at the Annual General Meeting after approval by the Auditor of the Southampton Probus Club appointed at the previous Annual General Meeting.

Article 8 - Alteration of Rules

These rules may only be altered at an Annual or Special General Meeting.
